1. About these Keyodo Terms

These Keyodo Terms of Service ("Keyodo Terms") are an agreement between you and Ridgewill LLC, an Alabama limited liability company ("Ridgewill", "we", "us"), about Keyodo, a Ridgewill app. Keyodo is a brand of Ridgewill LLC, not a separate company.

The Ridgewill Terms of Service also apply to your use of Keyodo, and these Keyodo Terms are part of them. Words defined in the Ridgewill Terms mean the same here. If these Keyodo Terms conflict with the Ridgewill Terms, these Keyodo Terms control for Keyodo, except that section 19 of the Ridgewill Terms (Disputes) always controls. Keyodo's privacy practices are described in the Keyodo Privacy Policy, together with the Ridgewill Privacy Policy.

You accept these Keyodo Terms when you check the box or tap the button that says you agree, the first time you use Keyodo. If you do not agree, do not use Keyodo.

If we stop offering Keyodo, we will give the notice described in section 13 of the Ridgewill Terms.

2. Important

IMPORTANT. Please read sections 3, 4, 6, 12, 13 and 14 carefully. Keyodo is a record-keeping tool. Ridgewill does not rent, own, insure, inspect or verify vehicles or drivers, is not a party to any lending arrangement, and does not collect money. You lend and borrow at your own risk.

3. What Keyodo is

Keyodo helps people who already know each other keep a record of when a privately owned vehicle is lent and borrowed, how far it was driven, and what costs they agreed to share. Keyodo does not rent, lease, own, inspect, maintain, insure or deliver vehicles. It does not choose, screen or match drivers, set prices, or process payments.

4. Ridgewill is not a party

Any arrangement to lend or borrow a vehicle is only between the owner and the borrower. Ridgewill is not a party to it and not an agent of either person. Ridgewill is not a peer-to-peer car sharing program, rental company, transportation network company, broker, insurer, lender or payment service. Nothing in Keyodo transfers any right in a vehicle.

5. Who can do what

  • Owners must be at least 18.
  • Borrowers must be at least 16. A borrower under 18 may use Keyodo only after a parent or legal guardian links their own adult Ridgewill account, confirms they are the borrower's parent or legal guardian, and accepts these Terms for the borrower. The guardian confirms that the borrower holds an intermediate or full driver's license, not only a learner's permit. The guardian approves each owner the minor may borrow from, and can remove an owner, or end the minor's access by deleting the minor's Keyodo account, at any time.
  • Minors cannot own vehicles, manage a group or account, or buy anything. Keyodo does not collect location from users under 18.
  • Group codes. An owner can share a join code for their group. Anyone holding a current code can use it to join that group, whatever their invitation setting in their Ridgewill account. A code never overrides a block, codes expire quickly, and a member under 18 still needs their guardian's approval to join.

6. No insurance

RIDGEWILL DOES NOT PROVIDE INSURANCE OR ANY PROTECTION PLAN, AND DOES NOT GUARANTEE THAT ANYONE'S INSURANCE WILL COVER A VEHICLE, A DRIVER, OR ANY DAMAGE, INJURY OR LOSS WHILE KEYODO IS USED. Whether anyone is covered depends only on the owner's and borrower's own insurance policies. BEFORE YOU LEND, CALL YOUR INSURER. Some policies exclude vehicles used in a "personal vehicle sharing program" or lent for money, and some require regular drivers, including teen drivers, to be listed. Ask your insurer: (1) whether you are covered when a friend or family member borrows your vehicle and pays you back for fuel or miles; (2) whether any vehicle-sharing exclusion applies to a trip-logging app like Keyodo; and (3) whether you need to list anyone who borrows often. A car loan or lease may also limit lending. BORROWERS: your own policy may not cover a vehicle you borrow regularly, so check before you drive. YOU AGREE NOT TO RELY ON KEYODO OR RIDGEWILL FOR ANY INSURANCE DECISION.

7. No verification

Ridgewill does not check driver's licenses, driving records, insurance, registration, vehicle condition, safety recalls, or anyone's identity or age beyond what you tell us. Information in Keyodo is entered by members and may be wrong. When it is used, the artificial intelligence that reads photos reads only the odometer or receipt amount. No one at Ridgewill reviews photos for vehicle condition, warning lights or safety.

8. Owner responsibilities

If you add a vehicle, you confirm that you own it or are authorized by its owner to lend it; that it is registered and insured as the law requires; and that lending it does not break your insurance, loan or lease terms. You decide who may drive it. You will lend only to people you reasonably believe are licensed, sober and fit to drive, and you will follow any graduated-license limits for teen drivers, such as night and passenger restrictions. You will fix open safety recalls before lending (you can check at nhtsa.gov/recalls). You set any cost-sharing rate, which should reflect your real costs of owning and running the vehicle, and you are responsible for any tax or other consequence of money you receive. You may also use Keyodo without any rate, for example only to reserve times between family members. You will not use Keyodo to run a business that rents vehicles or carries passengers for hire.

9. Borrower responsibilities

If you borrow a vehicle, you confirm that you hold a valid driver's license for it and will follow its restrictions. You will drive only with the owner's permission and within any limits the owner sets, obey traffic laws, never drive impaired, and not let anyone else drive unless the owner agrees. Never use Keyodo or hold your phone while driving. Log the start before you drive and the end after you park. A passenger may use the app.

10. Trip records, readings and location

On plans that include it, and only if the owner has turned it on, Keyodo may use artificial intelligence to fill in odometer and receipt readings. Any reading, whether filled in this way or typed by a member, may be wrong. Check and correct every reading before you confirm it. If the owner's plan includes it, Keyodo may record your phone's location once when an adult borrower starts a trip and once when they end it, with permission, and show the owner where the trip started and ended. Location points are not tracking, are not proof of who was driving, and are not an emergency service. In an emergency, call 911. Ridgewill does not promise that readings, cost calculations or location information are accurate or complete, and the disclaimers in section 15 of the Ridgewill Terms apply.

11. The cost record (ledger)

Keyodo's cost and balance records ("ledger") are informal records of what members entered, calculated by formulas that may contain errors. They are not invoices, loans, contracts or proof of any debt. Ridgewill does not collect, enforce, or decide disputes about them, and no interest or fees are charged. If you delete your account while the ledger shows you owe a balance, we keep the records tied to that balance, with your contact details removed, until it is marked settled or the trips reach the end of their retention period, and then finish deleting your account.

12. Accidents, damage, tolls and tickets

Keyodo only records when a vehicle was borrowed, how far and how long it was used, when it was returned, and the cost calculated from the rates the owner set. Anything that happens while a vehicle is lent, including accidents, damage, injuries, tolls, parking, tickets and fines, and who is responsible for them, is solely between the owner and the borrower. Ridgewill does not decide fault, value damage, decide who pays, or take part in resolving these matters.

13. Legal proceedings between members

  • Ridgewill is not a party. Ridgewill is not a party to any dispute, claim or lawsuit between members, or between a member and anyone else, about a vehicle, a trip, a cost, or anything recorded in Keyodo. Ridgewill does not act as a witness, give statements, analyze or interpret records, or authenticate records for anyone, except as the law requires in response to valid legal process.
  • Requests for records. Anyone who wants Keyodo records for a legal matter must serve Ridgewill with a valid subpoena, court order or other legal process. We do not respond to informal requests from members, lawyers or insurers. Where the law allows, we may tell the affected members before we respond, and we may ask the requesting party to pay our reasonable costs of responding. This does not limit your right to ask for a copy of your own information under our Privacy Policy.
  • Keep your own records. Keyodo is not a substitute for your own records, receipts, photos, police reports or insurance claims. You agree not to rely on Keyodo as your record for any legal, tax or insurance purpose, and to keep your own copies of anything that matters to you.

14. Assumption of risk and release

Lending and borrowing vehicles carries risks of injury, death, property damage, loss of insurance coverage, legal liability and disputes about money. You choose whether to lend or borrow, and to whom, and you accept those risks as between you and Ridgewill. You release Ridgewill as described in section 17 of the Ridgewill Terms from all claims arising from any vehicle, its condition or its use, and from any lending arrangement recorded in Keyodo, except claims arising from Ridgewill's own gross negligence, willful or wanton misconduct or fraud. The California waiver in section 17 of the Ridgewill Terms applies to this release.

15. Keyodo indemnity

The indemnity in section 18 of the Ridgewill Terms includes any third-party claim arising from your vehicle, your driving, or your lending or borrowing, except to the extent caused by Ridgewill's own gross negligence or willful misconduct.

16. Plans, subscriptions and prices

Keyodo offers a free plan and paid plans with higher limits and more features. The app shows each plan's current limits, features and price before you buy. We may change plan limits and features, as section 14 of the Ridgewill Terms describes. Only vehicle owners buy plans. Borrowing is free.

  • Price. The app shows the current price before you buy. Apple or Google charges it, plus any tax the store adds.
  • Automatic renewal. A Keyodo subscription continues and renews automatically each month, and the store charges the then-current price, until you cancel. There is no minimum purchase or commitment beyond the current month.
  • Cancel anytime, online. Cancel in your App Store or Google Play subscription settings at least 24 hours before the renewal date to avoid the next charge. Deleting the app or your account does not cancel a subscription. After you cancel, you keep paid features until the end of the month you paid for.
  • Price changes. If we change the price, the store will tell you in advance, and asks for your consent where its rules require. You can cancel before the change applies to you.
  • Minors may not buy subscriptions.

The California residents section was removed: the California notice in section 20 of the Ridgewill Terms covers Keyodo, and the price lives in the app, not in these Terms.

17. Apple App Store terms

This section applies if you downloaded an app from Apple's App Store.

  1. These Terms are between you and Ridgewill only, not Apple. Ridgewill, not Apple, is solely responsible for the app and its content. Your use of the app must also follow the Usage Rules in the Apple Media Services Terms and Conditions.
  2. Your license to the app is a non-transferable license to use it on Apple-branded products you own or control, as the Usage Rules permit, including through Family Sharing.
  3. Ridgewill, not Apple, is solely responsible for maintenance and support. Apple has no obligation to provide maintenance or support for the app.
  4. If the app fails to conform to any warranty that applies, you may notify Apple, and Apple will refund the purchase price, if any, of the app to you. To the maximum extent the law allows, Apple has no other warranty obligation for the app. Any other claims, losses or expenses from a failure to conform to a warranty are Ridgewill's responsibility, to the extent these Terms do not disclaim them.
  5. Ridgewill, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  6. If a third party claims that the app or your use of it infringes their intellectual property rights, Ridgewill, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
  7. You confirm that you are not located in a country subject to a United States government embargo or designated as a "terrorist supporting" country, and that you are not on any United States government list of prohibited or restricted parties.
  8. Questions, complaints or claims about the app: Ridgewill LLC, 4049 US Highway 231, PMB 1027, Wetumpka, AL 36093; (334) 926-5955; support@ridgewill.com.
  9. You must comply with any third-party terms that apply when you use the app, such as your wireless data service agreement.
  10. Apple and its subsidiaries are third-party beneficiaries of these Keyodo Terms and the Ridgewill Terms. Once you accept these Terms, Apple has the right, and is deemed to have accepted the right, to enforce them against you as a third-party beneficiary.

18. Google Play terms

If you downloaded an app from Google Play, the Google Play Terms of Service also apply to your use of the installed app. Where Google's terms conflict with these Terms about the installed app itself, Google's terms control. These Terms control your Ridgewill account and the Services.
